Terms of Service

1. Acceptance of Terms
By accessing or using Wadwin ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including businesses and their team members.
2. Description of Service
Wadwin is a WhatsApp CRM platform that allows businesses to manage WhatsApp Business API conversations, contacts, and team communication. The Service requires a valid Meta WhatsApp Business Account (WABA) and operates in compliance with Meta's WhatsApp Business Platform policies.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately of any unauthorized access.
4. Free Trial
New accounts receive a 14-day free trial with up to 100 outbound messages. After the trial period or message limit is reached (whichever comes first), you must purchase credits to continue using the messaging features. Trial terms may be adjusted at our discretion.
5. Credits and Payment
- Credits are purchased in advance and deducted per message sent
- Credits are non-refundable unless required by applicable law
- Credits do not expire while your account is active
- Prices are displayed in Hong Kong Dollars (HKD) and may change with notice
- Payments are processed by Stripe and subject to Stripe's terms
- We are not responsible for additional charges from Meta for WhatsApp API usage
6. WhatsApp Business API Compliance
By using the Service, you agree to comply with Meta's WhatsApp Business Platform policies, including but not limited to:
- Only messaging users who have opted in to receive messages from your business
- Not sending spam, unsolicited messages, or prohibited content
- Complying with the 24-hour messaging window rules for non-template messages
- Using approved message templates for outbound marketing messages
Violation of Meta's policies may result in suspension of your WABA and termination of your Wadwin account without refund.
7. Acceptable Use
You agree not to use the Service to:
- Send spam, phishing, or fraudulent messages
- Harass, threaten, or harm any person
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Attempt to gain unauthorized access to our systems
- Resell or sublicense the Service without written permission
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. You are responsible for obtaining necessary consents from your customers before messaging them and for complying with applicable data protection laws in your jurisdiction.
9. Service Availability
We strive for high availability but do not guarantee uninterrupted access. The Service depends on third-party providers (Meta, Supabase, Vercel, Clerk) whose availability is outside our control. We are not liable for downtime caused by these providers.
10. Intellectual Property
The Service and its original content, features, and functionality are owned by Wadwin and are protected by intellectual property laws. You retain ownership of your business data and message content.
11. Limitation of Liability
To the maximum extent permitted by law, Wadwin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 3 months preceding the claim.
12. Termination
You may terminate your account at any time. We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with reasonable notice. Upon termination, your data will be deleted within 30 days per our Privacy Policy.
13. Governing Law
These Terms are governed by the laws of Hong Kong SAR. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.
14. Changes to Terms
We may update these Terms at any time. Material changes will be communicated by email or in-app notice with at least 14 days' notice. Continued use after the effective date constitutes acceptance of the updated Terms.
